GLN Warsaw advises Abris Capital Partners on the take-over of Polski Bank Przedsiębiorczości
August 14, 2012
Article's tools:

Gide Loyrette Nouel has advised Abris Capital Partners on the acquisition of a 45% stake in Polski Bank Przedsiębiorczości (PBP) from DM IDMSA The seller, DM IDMSA brokerage house, will earn almost 28 million dollars on this sale.

The transaction does not require approval from the Polish Financial Supervision Commission as Abris already holds the regulator’s authorisation to exercise 100% of voting rights attached to the shares in PBP. As a result of the acquisition of shares, Abris has become the sole shareholder of the bank, having purchased 55% of shares at the end of 2010 from WestLB.

A stable owner will strengthen the bank’s competitive position and enable it to achieve its long-term objectives. Abris has not ruled out the possibility of introducing a minor investor and listing the shares in the bank in the future.

Polski Bank Przedsiębiorczości S.A. provides banking services to corporate clients, SMEs as well as public authorities, in particular local government units.

Abris Capital Partners is an independent private equity fund manager, focused on mid-market opportunities in the major countries of Central and Eastern Europe.

From GLN’s side, the transaction was handled by Paweł Grześkowiak, advocate and partner in charge of the Banking and Finance Department, and Marta Karmińska, legal advisor and tax advisor.
